1) Geltungsbereich, Begriffsbestimmungen
1.1 Diese Allgemeinen Geschäftsbedingungen (nachfolgend "AGB") der Lucky Systems GmbH (nachfolgend "uns"), gelten für alle Verträge, die du als Verbraucher oder Unternehmer (nachfolgend „Kunde") mit uns über die von uns auf unserer Website oder in anderen Medien beschriebenen Beratungsleistungen abschließt. Hiermit widersprechen wir der Einbeziehung von deinen eigenen Bedingungen, es sei denn, wir haben hierzu etwas anderes mit dir vereinbart.
1.2 Verbraucher im Sinne dieser AGB bist du, wenn du ein Rechtsgeschäft zu Zwecken abschließt, die überwiegend weder deiner gewerblichen noch deiner selbständigen beruflichen Tätigkeit zugerechnet werden können.
1.3 Unternehmer im Sinne dieser AGB bist du als natürliche oder juristische Person oder als rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung deiner gewerblichen oder selbständigen beruflichen Tätigkeit handelt.
2) Leistungen des Anbieters
2.1 Wir bieten unsere Leistung sowohl online als auch vor Ort bei dir an. Der Inhalt der Beratungsleistung ergibt sich aus unserem Angebot.
2.2 Bei Online-Beratungen erbringen wir unsere Leistung ausschließlich in elektronischer Form per Online-Video-Konferenz unter Einsatz entsprechender technischer Mittel. Hierzu stellen wir dir vor Beginn einer Video-Konferenz eine passende Anwendungssoftware bereit, wobei wir uns hierfür auch der Dienste Dritter bedienen können. Zur fehlerfreien Teilnahme an der Online-Video-Konferenz muss dein System bestimmte Mindestvoraussetzungen erfüllen, die dir auf unserer Website mitgeteilt werden. Für die Einhaltung der Systemvoraussetzungen trägst du die Verantwortung. Wir haften nicht für technische Probleme, die auf mangelhafte Systemvoraussetzungen deinerseits zurückzuführen sind.
2.3 Bei Beratungen vor Ort bei dir erbringen wir unsere Leistung im persönlichen Kontakt mit dir an dem von dir angegebenen Ort.
2.4 Wir erbringen unsere Leistung durch qualifiziertes, von uns ausgewähltes Personal. Dabei können wir uns auch der Leistungen Dritter (Subunternehmer) bedienen, die in unserem Auftrag tätig werden. Sofern sich aus unserem Angebot nichts anderes ergibt, hast du keinen Anspruch auf Auswahl einer bestimmten Person zur Durchführung der gewünschten Beratungsleistung.
2.5 Wir erbringen unsere Leistung mit größter Sorgfalt und nach bestem Wissen und Gewissen. Sofern sich aus unserem Angebot nichts anderes ergibt, schulden wir keinen bestimmten Erfolg. Insbesondere übernehmen wir keine Gewähr dafür, dass sich bei dir ein bestimmter Erfolg einstellt oder dass du ein bestimmtes Ziel erreichst. Dies ist nicht zuletzt auch von deinem persönlichen Einsatz und Willen abhängig, auf den wir keinen Einfluss haben.
3) Contract Conclusion
You can send us a non-binding request for submission of an offer by telephone, fax, e-mail, letter or via the online contact form on our website. In response to your request, we will send you a binding offer for the provision of the service you have previously selected by e-mail, fax or letter. You can accept this offer by declaring acceptance to us by fax, e-mail or letter or by paying the remuneration offered by us within 7 (seven) days of receipt of the offer, whereby the day of receipt of the offer shall not be counted for the calculation of the period. For acceptance by payment, the day of payment receipt by us is decisive. If the last day of the period for acceptance of the offer falls on a Saturday, Sunday or a public holiday recognised by the state at your place of business, the next working day shall take the place of such a day. If you do not accept our offer within the aforementioned period, we shall no longer be bound by our offer. We will specifically draw your attention to this in our offer.
4) Right of Withdrawal for Consumers
Consumers are generally entitled to a right of withdrawal. Further information on the right of withdrawal can be found in our cancellation policy.
5) Customer Cooperation Obligations
5.1 You must provide us with the information required for the performance of the owed service free of charge, completely and truthfully, unless obtaining such information falls within our scope of duties according to the content of the contract.
5.2 If, according to the specific content of the contract, an on-site assessment at your premises is owed, you shall grant us access to the facilities to be assessed and, if necessary, provide us with suitable specialist personnel selected by you, insofar as this is required for the performance of the owed consulting service.
6) Remuneration
6.1 Unless otherwise stated in our offer, the prices indicated are total prices that include statutory value added tax.
6.2 Costs for travel, accommodation and meals for services provided on site are not included in the price and shall be borne by you, unless otherwise stated in our offer.
7) Confidentiality
We will treat all information obtained about you in the course of our services, in particular information concerning private or business matters, as confidential and will not pass it on to third parties, unless this is necessary for the fulfilment of our own contractual obligations towards you.
8) Accompanying Information Material
8.1 We are the owner of all usage rights to information material which we may provide to you, in whatever form, in connection with the consultation.
8.2 You may only use information material provided by us in connection with the consultation to the extent necessary for the purpose of the contract underlying our relationship. Without our separate permission, you are in particular not entitled to reproduce, distribute or make publicly available any information material provided by us, in whole or in part.
8.3 For online consultations, we provide accompanying information material (e.g. consultation documents) exclusively in electronic form by e-mail or for download. Unless otherwise agreed, you are not entitled to receive the information material in physical form.
9) Liability for Defects
If, according to the content of the contract, we owe the achievement of a specific success within the meaning of § 631 para. 2 BGB (German Civil Code) (e.g. preparation of an expert opinion), we shall be liable for defects of the work in accordance with the provisions of statutory liability for defects, unless otherwise stipulated in the following provision.
10) Liability
We are liable to you for all contractual, quasi-contractual and statutory, including tortious, claims for damages and reimbursement of expenses as follows:
10.1 We are liable without limitation on any legal ground
- in the event of intent or gross negligence,
- in the event of intentional or negligent injury to life, limb or health,
- on the basis of a guarantee promise, unless otherwise regulated in this respect,
- on the basis of mandatory liability such as under the Product Liability Act.
10.2 If we negligently breach a material contractual obligation, our liability shall be limited to the typical, foreseeable damage, unless we are liable without limitation pursuant to the preceding clause. Material contractual obligations are obligations which the contract imposes on us according to its content to achieve the purpose of the contract, the fulfilment of which makes the proper performance of the contract possible in the first place and on whose compliance you may regularly rely.
10.3 Otherwise, our liability is excluded.
10.4 The above liability provisions also apply with regard to our liability for our vicarious agents and legal representatives.
11) Applicable Law
The law of the Federal Republic of Germany shall apply to all legal relationships between us. If you are acting as a consumer, this choice of law shall only apply to the extent that the protection granted to you by mandatory provisions of the law of the country in which you have your habitual residence is not withdrawn.
12) Place of Jurisdiction
If you are acting as a merchant, a legal entity under public law or a special fund under public law with its registered office in the territory of the Federal Republic of Germany, our place of business shall be the exclusive place of jurisdiction for all disputes arising from this contract. If you have your registered office outside the territory of the Federal Republic of Germany, our place of business shall be the exclusive place of jurisdiction for all disputes arising from this contract, if the contract or claims arising from the contract can be attributed to your professional or commercial activity. In the aforementioned cases, however, we are in any case entitled to bring an action before the court of your registered office.
13) Alternative Dispute Resolution
We are neither obliged nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
